Lecture - IP Issues in Mergers and Acquisitions

In March 2017, ARCIALA celebrates the “Greater China IP Month,” and is proud to host Professor Jerry Fong as Visiting Professor during the period 27-31 March 2017. Professor Fong will deliver two public lectures during his visit on the theme “Intellectual Property Transactions: From Taxation to M&As”. The second lecture will be delivered on 30 March 2017. 

 

Synopsis

IP-driven mergers & acquisitions (M&As) have become the major driving force behind the recent international M&As activities, especially in the high-tech sector. Companies worldwide are now shifting their M&As attention away from traditional assets to IP-related assets. The new wave of M&As in the semiconductor industry that has been triggered by Chinese conglomerates is just one example of this trend. This lecture will start from covering traditional IP issues related to M&As, such as due diligence, representation & warranty, indemnification. It will then explore the present day issues, such as the valuation of IP, the management of IP portfolio, and the planning of taxation strategy. The lecture will also address market dominance issues resulting from the concentration of IP, including its abuse and prevention. It will end by reflecting on legal and strategic considerations for conducting successful IP-driven M&As in the greater China area.

 

Speaker

Professor Fong specializes in corporate law, securities regulation, intellectual property law, intellectual property management and licensing law. He currently holds a joint-appointment as Professor at the College of Law and the College of Business at National ChengChi University (NCCU) in Taiwan. He is also in charge of the Biopharmaceutical Section of NCCU EMBA program. Before joining NCCU, Professor Fong taught at Chung Yuan Christian University (CYCU) and was the Head of Department of Financial & Economic Law. In 2005, he received a Fulbright Scholarship and visited the University of Washington Law School. In 2011, he was a visiting scholar at the George Washington University Law School. Professor Fong is a prolific writer. He has authored more than a dozen books, over 200 academic articles, and over 400 non-academic articles.
